Terms of Service

These terms govern your use of formulaDB, an Excel add-in provided by Sumpa Labs. By installing or using formulaDB you agree to them. formulaDB is offered free of charge at this stage and there is no commerce surface in the product.

Acceptance of Terms

By sideloading, installing, or otherwise using formulaDB, you accept these terms on behalf of yourself and any organization for which you use the add-in. If you do not agree, do not use formulaDB.

User Responsibilities

Account Security

formulaDB has no accounts of its own. You are responsible for the security of the Microsoft 365 environment and the device through which you load and run the add-in, and for the credentials of any data source you choose to query.

Acceptable Use

You agree to use formulaDB lawfully, to query only data you are authorized to access, and not to use the add-in to infringe the rights of others, to reverse engineer it except where that right cannot lawfully be excluded, or to disrupt its operation for other users.

Service Availability

Service Changes

formulaDB is under active development. We may add, change, or remove functionality, and we may suspend or discontinue the add-in or this site at any time without liability to you.

Data Backup

formulaDB does not store your workbook or your data. You are responsible for backing up your spreadsheets and source files through your own tooling; query results live in your workbook and are saved with it.

Software License

License Grant

Subject to these terms, Sumpa Labs grants you a personal, non-exclusive, non-transferable, revocable license to install and use formulaDB for your internal purposes.

License Restrictions

You may not redistribute, sublicense, rent, or sell the add-in; remove proprietary notices; or pass off the add-in as your own. The add-in's object code and assets remain licensed, not sold, to you.

License Termination

This license ends automatically if you breach these terms, and may be revoked at our discretion. On termination you must stop using formulaDB and remove it from your Excel environment.

Intellectual Property

formulaDB, its name, and its associated assets are the intellectual property of Sumpa Labs and are protected by applicable law. Nothing in these terms transfers ownership of the add-in to you. Your data and workbooks remain entirely yours.

Privacy and Data

formulaDB runs in your browser and keeps no server-side copy of your data. How we handle the limited information involved is described in our privacy policy, which forms part of these terms.

Termination

By You

You may stop using formulaDB at any time by removing the add-in from Excel.

By Us

We may suspend or terminate your access to formulaDB if you breach these terms or if we discontinue the add-in.

Effect of Termination

On termination, the license granted above ends. Sections that by their nature should survive — intellectual property, disclaimers, limitation of liability, and dispute resolution — continue to apply.

Disclaimer and Limitation of Liability

Disclaimer

formulaDB is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy of query results, and non-infringement. You are responsible for validating results before relying on them.

Limitation of Liability

To the fullest extent permitted by law, Sumpa Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data or profits, arising from your use of or inability to use formulaDB.

Maximum Liability

Because formulaDB is provided to you free of charge, our total aggregate liability arising out of or relating to these terms is limited to one hundred U.S. dollars (US$100).

Dispute Resolution

Informal Resolution

Before bringing any formal claim, you agree to contact us at [email protected] so we can try to resolve the matter informally.

Governing Law

These terms are governed by the laws applicable to Sumpa Labs' principal place of business, without regard to conflict-of-laws rules.

Jurisdiction

You agree to the exclusive jurisdiction of the courts located there for any dispute that is not resolved informally.

Changes to Terms

We may update these terms as formulaDB evolves. When we do, we will revise the "last updated" date above; continued use after a change constitutes acceptance of the revised terms.
